Term Sheets Still Run on Economics and Control — Agents Don't Change That

Desde el escritorio · por qué importa

If you're raising money for an AI-native company, the leverage you think you have from moving fast with agents still gets adjudicated on a cap table. The game has the same rules it always did.

Brad Feld and Jason Mendelson built Venture Deals around a single clarifying move: strip every term sheet down to two dimensions, economics and control, and you can read any deal clearly. Liquidation preferences, participation rights, anti-dilution provisions — these are the economics levers. Board composition, protective provisions, drag-along rights — these are the control levers. Everything else, the lawyers will make sound consequential, and most of it isn't. Founders who internalize this framework stop getting lost in definitions and start asking the right questions.

The AI-native studio model creates a new wrinkle Feld and Mendelson couldn't have anticipated but their framework handles cleanly. When agents compress your headcount, your burn looks low and your margins look fat, which tempts investors to reprice control terms in their favor on the theory that you need less runway protection. That's a trap. Understand that low burn doesn't reduce the value of your protective provisions — it increases your negotiating position on them. Apply the economics-versus-control lens before any term sheet conversation, not after, and you'll know exactly which concessions are theater and which ones transfer the company.

Llévate esto a tu agente
  • Every term sheet clause belongs to either economics or control — sort it before reacting to it
  • low-burn AI-native companies often give away control cheaply by mistaking lean operations for low stakes
  • knowing the vocabulary cold is the only way to tell when your lawyers are billing hours versus protecting you.
